Information memorandum

The structured document that presents a business and its numbers to lenders, investors or partners in the order sophisticated readers expect.

In plain English

An information memorandum, usually just the IM, is the document that tells the whole story in one place: what the business is, how it earns, who runs it, what the numbers say, what the money is for and how it comes back. It exists so a serious reader can assess the proposition without twenty follow-up emails.

The discipline of an IM is that every claim in the narrative must reconcile to the financials behind it. An IM whose story and numbers diverge does more damage than no IM at all, because sophisticated readers check.

Why a lender cares

For larger or more complex facilities, an IM signals that the borrower runs a professional operation, and it shortens assessment because the answers arrive in the order credit wants them.
